Terms of Use — COYSEC

These Terms of Use ("Terms") govern your use of the COYSEC service ("Service") provided by Clearpath AI ("Clearpath AI", "we", "us", "our"). By creating an account or otherwise using the Service, you agree to be bound by these Terms.

1. The Service

COYSEC is a software-as-a-service platform that helps companies maintain statutory company records, registers, and related compliance documents.

2. Acceptance

By accessing or using the Service you confirm you have authority to bind your organisation (if applicable) and are of legal age. Continued use of the Service constitutes acceptance of these Terms and any updates.

3. Accounts and Credentials

You must provide accurate information, keep it up to date, and maintain the confidentiality of your account credentials. You are responsible for all activity carried out under your account.

4. Acceptable Use

You must not misuse the Service. In particular, you must not:

use the Service for any unlawful, fraudulent, or deceptive purpose;
upload malware, attempt to probe or breach our security, or scrape the Service;
infringe any intellectual property or other rights of third parties;
resell, sublicense, or redistribute the Service without our consent.

5. Intellectual Property

Clearpath AI retains all right, title, and interest in the Service, including all software, documentation, designs, and branding. You receive a limited, non-exclusive, non-transferable right to use the Service within your subscription plan.

6. User Content

You retain ownership of the data and content you submit. You grant us a limited licence to host, process, and display that content solely as needed to provide the Service.

7. Payments & Subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, tax, cancellation, and refund mechanics are governed by Paddle's Buyer Terms.

Subscriptions renew automatically until cancelled. You can manage or cancel your subscription via the customer portal at any time.

8. Service Level

The Service is provided on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free operation, and to the fullest extent permitted by law we disclaim all implied warranties, including merchantability and fitness for a particular purpose.

9. Suspension & Termination

We may suspend or terminate your access for material breach of these Terms, non-payment, security or fraud risk, or repeated or serious policy violations. Upon termination your right to use the Service ends and we may delete your data after a reasonable export window.

10. Limitation of Liability

To the extent permitted by law, our aggregate liability arising out of or relating to the Service is limited to the fees you paid in the 12 months preceding the claim. We are not liable for indirect, consequential, special, or incidental damages, including loss of profits, data, or goodwill. Nothing in these Terms excludes liability for fraud, death, or personal injury caused by our negligence.

11. Indemnity

You agree to indemnify Clearpath AI against claims arising from your user content, your unlawful use of the Service, or your breach of these Terms.

12. Governing Law

These Terms are governed by the laws of the Republic of South Africa, and disputes will be resolved in the courts of that jurisdiction.

13. Changes

We may update these Terms from time to time. Material changes will be notified via the Service or by email.
